Agreement

Applicant applies to become a Clean Living International Ambassador and agrees to abide by the terms of the Consultant Agreement set forth in this Application Form, Social Media Guidelines and Rules of Conduct (as altered from time to time).

It is illegal for a promoter or a participant in a trading scheme to persuade anyone to make a payment by promising benefits from getting others to join a scheme.

Do not be misled by claims that high earnings are easily achieved. If you sign this contract, you have 14 days in which to cancel and get your money back.

Terms and Conditions of CLI Ambassador Agreement

A. As a CLI Ambassador, I understand and agree:

1.1 I will promote and sell Clean Living International products and services to customers as an Ambassador on behalf of Clean Living International. In this agreement, Clean Living International shall mean both the current range of cleaning products and other products and such further products and/or services which may be supplied by Clean Living International in addition to, or in substitution for, those products from time to time.

1.2 I will not sell Clean Living International products on the internet or as a permanent retail display offering in any public, retail or service establishments. I will also not act as a supplier for anyone that wants to sell our products in this way.

1.3 I will not sell Clean Living International products via auction, in particular via Amazon, eBay, Facebook Marketplace and similar media, whether online or otherwise.

1.4 I will present Clean Living International products in a truthful, sincere and honest manner, and I will conduct myself in a manner that reflects the highest standards of integrity and responsibility in keeping with the reputation of Clean Living International. In advertising any of the products or Clean Living International in relation to any information I provide about earnings, I will ensure the following wording is used:
“It is illegal for a promoter or participant in a trading scheme to persuade anyone to make a payment by promising benefits from getting other people to join a trading scheme. Do not be misled by claims that high earnings can be easily achieved.

1.5 I will not accept orders for purchases which I know to be for unreasonable volumes, for example if the purchaser has no need of the goods, either for his own use or for re-sale within a reasonable period.

1.6 I will make personal or telephone contact with consumers only in a reasonable manner and during reasonable hours, normally not before 8am or after 9pm, and I will inform the consumer that the purpose of the visit/call is to solicit or confirm an order for products.

1.7 When making an appointment to visit a consumer, I will inform the consumer as to the purpose of the visit for full disclosure and to protect anybody deemed to be vulnerable.

1.8 I will make only such verbal or written product claims with respect to product efficacy as are authorised by Clean Living International.

2. I will protect Clean Living International’s trademarks and trade name by not reproducing Clean Living International’s name and/or trademarks or copy any of Clean Living International’s materials for use in any advertising without the prior written approval of Clean Living International. Please also Read our Social Media Guidelines for more information.

3. I am an independent contractor; I am not an employee, partner or franchisee of Clean Living International. I cannot act on behalf of, represent, or conclude any contracts on behalf of Clean Living International, save for the collection and transmission of orders for Clean Living International products at prices approved by Clean Living International; I do not have any authority to incur any debt, obligation or liability on behalf of Clean Living International. It is up to me to decide whether to work at all, and if so, for how many hours.

4. As an independent contractor, I am responsible for paying all national insurance contributions, income taxes, VAT and making all relevant filings and returns required by law; and I am not covered by any employment protection legislation and I will not be treated as an employee with respect to this agreement for any tax or legal purposes, or otherwise. I agree to abide by all laws relating to my business. I will be responsible for my conduct in relation to my business with Clean Living International and will indemnify Clean Living International as regards any claims against Clean Living International and/or myself arising out of my conduct. I will maintain adequate insurance against all relevant risks including public liability. I confirm that I have the right to work in the UK and will produce, upon request, documentation to confirm my right to work in the UK. I hereby indemnify Clean Living International in respect of all and any claims, expenses, costs or liabilities against it arising from or in connection with my right to work in the UK.

5. As an independent contractor, I am not liable for the products. Clean Living International products must be sold in original Clean Living International containers. Re-labelling or repackaging is forbidden as this may violate applicable laws, which could result in civil damages or criminal penalties. You may incur personal liability if a person using Clean Living International products suffers any type or injury or property damage due to your repackaging or re-labelling of any Clean Living International products.

6. I will present Clean Living International’s business opportunity in a truthful manner. I will abide by all legal requirements and the Codes of the Direct Selling Association (DSA). I acknowledge that Clean Living International may not be a member of the DSA, either now or subsequently. I will not make any misleading earnings claims. I will accept recruiting responsibilities by ensuring that any prospective recruit is 18 years of age or older.

7. I will submit product orders to Clean Living International in the manner prescribed by Clean Living International accompanied by full payment by any payment method deemed acceptable by Clean Living International. I understand that all orders are subject to acceptance by Clean Living International.

8. I understand that information and materials provided to me contain confidential and proprietary information of Clean Living International. I will not use, disclose or reproduce these materials other than for my business without the prior express written consent of Clean Living International.

9. I have no financial obligation during the period of 12 months from the start of this agreement other than to purchase a Starter kit/pay the registration fee, and to pay for any goods and/or services ordered.

10. I understand that commissions will be paid in accordance with the Compensation Plan and that I must comply with and not be in breach of any of the terms of the Agreement in order to be eligible for payment. I understand that Clean Living International may suspend or revoke payment of commissions paid less than 120 days previously if I am in breach and I authorise Clean Living International to deduct from commissions, overrides or other amounts due to me, amounts owed by me to Clean Living International which are due at the time of the deduction. Clean Living International may recover from me commissions paid in respect of returned products or cancelled services.

11. I agree that personal information provided to Clean Living International may be retained and processed by Clean Living International manually and/or on a computer database, disclosed and transferred to Clean Living International and its brand partners, suppliers and other affiliates and to other persons situated outside the European Economic Area for use by Clean Living International for business purposes. Personal information includes, but is not limited to, my name and address, sensitive personal data and other information relating to me. Information may be disclosed to such third parties for Clean Living International’s business purposes unless I notify Clean Living International that I do not want such information released. I also agree that such information pertaining to customers belongs to Clean Living International and that Clean Living International reserves the right to assure continued service to customers if I cease to be an active Ambassador. I will take appropriate steps to protect the security of personal data in my possession.

12. In the supply of promotional or training literature (sales aids) in hard copy or electronic form I will:

12.1 utilise only materials that are approved by Clean Living International or comply with the same standards to which Clean Living International adheres;

12.2 not make the purchase of such sales aids a requirement for downline direct sellers;

12.3 provide such literature (and any other sales aids) at no more than a reasonable and fair price, equivalent to the price of similar material available generally in the marketplace;

12.4 offer a written return policy that is the same as the return policy of Clean Living International;

12.5 not require any other direct seller to purchase any sales aids or other materials that are inconsistent with Clean Living International’s policies and procedures;

12.6 Ensure that sales aids and other materials are not misleading or deceptive and are sold only in compliance with the provisions of the DSA Code; and not permit the sale of sales aids to be a profit centre for any direct sellers.

13. I cannot transfer or subcontract this agreement or my appointment as an Ambassador to any person or entity. As an independent contractor, I am entitled to arrange for such assistance in the conduct of my business as I deem appropriate.

14. I may cancel this Agreement without penalty within fourteen (14) days of entering into it and if I do so, I am entitled to recover all monies paid to Clean Living International in that time upon delivery to Clean Living International, Unit 41 The Oaks, Invicta Way, Manston, Ramsgate, Kent CT12 5FN all products in a commercially re-saleable condition. Cancellation may be effected by sending a written notice to Clean Living International at FAO Sue Caldwell, Cubo Work, Victoria Street, Derby, DE1 1EQ or via email to support@cleanlivingint.com. Such notice must contain my full name, Ambassador number and address.

15. In the first seven days of my appointment as an Ambassador I will not pay or agree to pay to Clean Living International or any other Consultant a sum in excess of £200 (inclusive of monies paid for the Starter kit/registration fee), whether in respect of products ordered or anything else.

16. I understand that Clean Living International can cancel this agreement should I be inactive for a period of 12 months. Inactive means not ordering any goods for a period of 365 days.

17. I agree to provide every customer with a partially completed Notice of the Right to Cancel before every purchase and upon discovery of a failure to have done so I undertake to provide a Notice of the Right to Cancel to that customer as soon as possible.

18. I acknowledge that if I commit a serious breach of any of the most important provisions of this agreement, Clean Living International will have the right to terminate the agreement with or without notice to me.

B. Clean Living International understands and agrees:

1. The Ambassador will be entitled to earn commission income based on sales of Clean Living International products.

2. In addition to commissions, Clean Living International may provide additional awards and privileges to “active” Ambassadors, as defined from time to time.

3. Clean Living International will calculate and pay commissions in accordance with the then current Clean Living International published commission schedules. Clean Living International may change commissions, incentive programme rules and active sales requirements at any time with thirty (30) days prior written notice to Consultant.

4. Clean Living International will not impose on Ambassador any geographical territories or limits relating to sales and recruiting of Ambassadors in the United Kingdom.

5. The Ambassador has no financial obligation during the term of this agreement other than to pay for the products and services ordered.

6. Clean Living International reserves the right to introduce special offers from time to time intended to generate increased sales for certain products. Ambassador discount, and commissions will continue to equate to a % of the value of goods sold.

7. Clean Living International reserves the right to make any and all such changes to the terms of this Ambassador Agreement, including its policies, as it may in its absolute discretion consider necessary or desirable to maintain and improve the organisational and economic efficiency and the competitiveness of the Clean Living International direct selling structure, with regard to both Customers and Consultants.

7.1 Ambassadors will be notified of all such changes. Such amendments shall become effective 30 days after notification. Changes to any financial obligations will be effective 60 days after notification. In the absence of your written indication to the contrary prior to the expiry of this 30 days, the continuation of your Clean Living International business including your acceptance of bonuses or commissions shall constitute your acceptance of any and all such changes.

C. General

1. This agreement is subject to acceptance by Clean Living International confirmed by its issue of an Ambassador number.

2. This agreement is effective for 12 months from the date of acceptance. It may be automatically renewed for additional terms of one year.

3. This agreement will come into dispute should the Ambassador fail to order any goods with Clean Living International for a period of 12 months. Clean Living International will make contact to inform the Ambassador and goods will need to be purchased to the value of at least £100 in the following 30 days after notice was received in order to keep their account open. This can be done via a series of orders or in one order. The Ambassador can write to Clean Living International at any time should they wish to discuss the matter. In such cases, keeping the agreement live will be at the absolute discretion of Clean Living International.

4. The Ambassador may terminate this agreement at any time by giving written notice to Clean Living International. Clean Living International may terminate this agreement for breach immediately or for any reason upon 30 days written notice.

5. No Ambassador or former Ambassador may set up in competition with Clean Living International for a period of 6 months following the termination of this agreement.

6. No Ambassador or former Ambassador may directly or indirectly solicit or attempt to solicit customers of Clean Living International as introduced under the scheme for a period of 2 years and 11 months following the termination of this agreement.

7. If any provision of this agreement (or part of any provision) is found illegal, invalid or unenforceable, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

8. If the Ambassador terminates this agreement within its first fourteen (14) days, the Ambassador may cancel any outstanding orders with Clean Living International without charge and receive a full refund of anything paid for, yet not received, in connection with this agreement. If the Ambassador returns to Clean Living International, at the address identified below, any goods the Ambassador purchased in that period, Clean Living International will give a full refund for them provided the goods are returned in the condition in which they were supplied.

9. If the Ambassador terminates this agreement more than fourteen (14) days after entering into it or if Clean Living International terminates this agreement, the Ambassador:

9.1 shall have no further contractual obligation to Clean Living International save under the provisions which expressly or by implication endure beyond that point and may cancel any outstanding personal orders and immediately receive a full refund of any prepayment for orders not received.

9.2 may return (at Clean Living International’s expense) any original, unused, and commercially re-saleable goods purchased by the Ambassador from Clean Living International within 90 days prior to such termination and Clean Living International will give the Ambassador a full refund of the VAT inclusive price of such goods less 10% handling charge (which will not be levied if Clean Living International terminates this agreement), and any diminution in the value of the goods returned to Clean Living International in a deteriorated or non-merchantable condition provided that such products were not purchased or acquired in breach of this agreement; and

9.3 may also return (at Clean Living International’s expense) any original, unused, and commercially re-saleable goods purchased from Clean Living International more than 90 days but less than one year prior to such termination and Clean Living International will give the Ambassador a refund amounting to 90% of the VAT inclusive price of such goods less an amount equal to (i) any commissions, bonuses or other benefits (in cash or in kind) received by the Ambassador in respect of those products, (ii) any amounts due from the Ambassador to Clean Living International on any account, (iii) a reasonable handling charge, (iv) any diminution in the value of the goods returned to Clean Living International in a deteriorated or non-merchantable condition. Clean Living International shall be under no such obligation if and to the extent that the products: (a) were acquired in breach of this agreement, (b) are not returned to Clean Living International in an unused, commercially resalable condition not more than 14 days after termination, or (c) if the Ambassador had been informed that the products were seasonal, discontinued or special promotion products which were not to be subject to buy-back.

10. Clean Living International agrees to provide to the Ambassador with every purchase of products for the Ambassador’s own use a Notice of the Right to Cancel and that it will abide by the terms therein.

11. Clean Living International do not accept the exploitation of vulnerable consumers. Should there be evidence to suggest this, Clean Living International will temporarily suspend a Brand Ambassadors account while a full investigation is carried out. If it is believed that any wrongdoing has been carried out, it will result in immediate dismissal of the Brand Ambassador in question and account closure.

12. These terms and conditions, Clean Living International’s Policies & Procedures, Social Media Guidelines and Compensation Plan, all as may be modified from time to time in writing issued by Clean Living International (and in no other way) together constitute the entire agreement between the parties concerning its subject matter. Neither party shall have any claim against the other (save for fraud or misrepresentation) except as may arise from breach of the express terms of this agreement. It cannot be altered, modified or changed through any suggestions, advice, guides or sales aids provided by Clean Living International.

13. This agreement shall be governed by English law and the Courts of England and Wales shall have exclusive jurisdiction.

Willing Your Clean Living International Independent Business

Upon death a Brand Ambassador, at the level of Senior Team Leader or higher (must have been paid at title during the previous six months) may pass their business to their chosen beneficiary. The beneficiary must be over 18 years of age and willing to inherit and work the Clean Living Business according to the policies and procedures in place at Clean Living International at that time. On the part of Clean Living International there is an expectation of continued leadership.

The transition of business will only take place once Clean Living International have received the application and then will only agree to transition if it does not adversely affect other Brand Ambassadors. Clean Living International have the right to refuse transition.

Once approval has taken place, the beneficiary will submit a new Brand Ambassador Agreement, agree to comply with current policies and procedures and agree to work the business in order to maintain the requirements of the business and team at the level of Senior Team Leader or above. Upon signing the agreement, there is also a requirement to purchase a new Ambassador Start Up kit.

Should the beneficiary be first line to the company, training and support will be given and in all other lines an expectation to learn and receive support from the upline. At all times there will be guidance and support available from Head Office.

From the date of signing the new agreement and purchasing a new Ambassador Start Up kit, there will be a three month period whereby the beneficiary has the option not to continue. Should this be the case, this business will be inherited by the immediate upline at that time. If the company, Clean Living International, decide that the business supported by the beneficiary is not viable, the agreement will be bought to a close and that business will be inherited by the upline at that time.

Any outstanding bonuses at the time of death will be paid upon receipt of a death certificate to the chosen beneficiary. Ongoing, commissions and bonuses will be transferred to the chosen beneficiary.

Clean Living International Social Media Guidelines

Social Media

The online world of social media is changing the way we connect with other people. Here at Clean Living International we want that connection to be based on trust, clarity, fact and mutual respect. We have created these social media guidelines to protect Clean Living International’s reputation and also to ensure that our Ambassador abide by the laws and regulation. These restrictions cover activity on all social networking sites such as Facebook, Instagram, LinkedIn, Twitter, TikTok, YouTube as well as blog posts and in online communities.

Disclosing your identity

When sharing your business, you must disclose that you are an Independent Ambassador with Clean Living International in your posts. Once you start creating and sharing content about your business, you have acknowledged your affiliation with Clean Living International in the social space and therefore any activity you create could be associated with the Clean Living International brand and potentially impacted the reputation of the business as a whole.

Ambassadors must also state that they are Independent Ambassadors in the about section or biography on any social media platform.

Brand Identity

The Clean Living International brand is legally protected and therefore, our Ambassadors are restricted from using the words ‘Clean Living’ or ‘Clean Living International’ in any form other than to identify themselves as Clean Living International Independent Ambassadors. This restriction covers email addresses, Facebook pages and groups, Instagram, Twitter, LinkedIn, YouTube, Web shops etc. The Clean Living International colour palette is also protected as part of our brand and therefore Ambassadors should not use those same colours for their personally branded marketing materials. If Ambassadors wish to be linked to Clean Living International we have listed some approved Facebook name examples below:

To this end, we have created an Independent Clean Living International Ambassador logo for use on your marketing tools, social media posts etc. If Clean Living determines that a business tool violates any of its rules, the law or the legal rights of others then Clean Living International reserves the right to request the Ambassador cease using the business tool.

Paid Advertising

As an Ambassador you are not permitted to pay for advertising on platforms such as Facebook, Google Ads etc. We want to ensure that all our Ambassadors are giving the same chance regardless of their financial situation.

Selling online

Ambassadors are not permitted to sell Clean Living International products via online selling pages such as ebay, Amazon, Facebook market place, gumtree etc. Clean Living International products are designed to be sold through our direct sales and subscription model. Any Ambassador found to be selling through these sites will incur restrictions. Ambassadors are required to use only Clean Living provided web shops to facilitate online sales.

Ambassadors will not sell Clean Living products at a discount on any public/open social media platforms, Facebook pages or groups. Any exclusive offers or Ambassador discounts should only occur on private platforms or private groups so as not to impact the sales of other Ambassadors or the business as a whole. Ambassadors who continue to practice in this manner will incur restrictions.

Approved Spokespeople

All publicity materials originated by Ambassadors or replies to enquiries from newspaper, magazine, radio or television company regarding your Clean Living International business must be submitted to Head Office for approval prior to publication. Please submit your materials to support@cleanlivingint.com. Please also allow 48 hours for this review to be processed.
